Corporate and Tax Partner Jason D. Navarino was interviewed on “Boardroom Buzz,” a video series presented by the National Association of Corporate Directors (NACD), New Jersey Chapter. NACD-NJ board member Julia Fisher hosted the interview, which was released on video on July 10, 2024.
As both a corporate lawyer and a member of nonprofit boards, Jason was asked for his insights into the role of a board member. He noted the opportunities presented by the increase in meetings via Zoom and similar technology, particularly with respect to fostering more diversity on boards. He stressed the problem-solving function of boards at the end of the day, given that management is “in the weeds,” handling the day-to-day tasks. He said that the job of a board member is to take a step back and bring a different perspective, “understanding that your role is not to replace management but it is also not to rubberstamp management.” Jason also highlighted the importance of being part of a team, focusing on strategy and problem-solving, and making the business or the organization better.
