Alan S. Gaynor

Bio

Alan S. Gaynor is a Partner in the Firm’s Corporate Law Group. With over three decades of corporate and transactional experience, he advises clients ranging from closely held businesses and midmarket enterprises to large public companies and other institutions, advising them at every stage of their growth and evolution.

Alan has led transactions in a variety of industries and deal types across a broad spectrum of deal size and complexity, including equity, debt and hybrid financings, and mergers and acquisitions. Clients have included underwriters and placement agents, venture capital and private equity firms, financial institutions, and professional service firms.

In addition to mergers and acquisitions, Alan brings extensive experience with respect to the structuring of joint ventures, liquidations and dissolutions, business divorces, public company reporting and compliance, real estate investment trusts (REITs), and private investments in public equity (PIPEs). His clients span a wide range of industries, including commercial real estate, health care, telecommunications, financial services and professional services.

He also represents high net worth individuals and family offices in investment transactions.

Prior to law school, Alan worked in public accounting, where he developed expertise in corporate finance, financial accounting, auditing, and domestic taxation. A trained certified public accountant, he brings a distinctive financial fluency to his legal practice that informs his counsel on tax-efficient structures and transactions, including tax-free reorganizations, like-kind exchanges, mixing bowl transactions, long-term incentive plans, and equity-based compensation.

Alan earned his J.D. from Boston College Law School and his B.S. in Accounting, from Binghamton University. Prior to joining Riker Danzig, he practiced at a large national law firm.
