Riker Danzig Represents Cigna in Acquisition of QualCare

Riker Danzig’s corporate team is acting as local counsel to major health insurer Cigna in its purchase of health–plan provider QualCare Alliance.  The transaction combines Cigna’s national health-related products and services with QualCare’s self-insured health plan services.  Cigna is a Fortune 100 company with international operations; QualCare currently serves over 200,000 customers with approximately 800 employees.  The acquisition is expected to bring additional jobs to New Jersey as QualCare builds its technology team to extend what it does in New Jersey to other parts of the country.

Riker Danzig partner Jason Navarino heads the Riker Danzig team for Cigna, providing counsel on New Jersey corporate and tax matters.  “We are pleased to be able to participate in such a synergistic deal,” said Jason.  “Cigna and QualCare are both leaders in the healthcare industry and the combination of their expertise and capabilities is an exciting development in national health plan services.”

Partner Robert Daleo, chair of Riker Danzig’s state and local tax group, and associate Michael LaTempa are providing legal counsel on the transaction as well.  Mary Kay Roberts, chair of Riker Danzig’s government affairs practice group, has acted as legislative and regulatory counsel for Cigna for over twenty years in Trenton.  In that capacity, she represents Cigna on a daily basis in insurance matters before the Executive Branch agencies, most notably the New Jersey Department of Banking and Insurance.
